Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "Customer," or "you") and Estimatics, Inc., a Delaware corporation ("Estimatics," "we," "us," or "our"), governing your access to and use of the Estimatics platform, including all associated software, mobile applications, APIs, and services (collectively, the "Platform").

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

1. Definitions

1.1 "Platform" means the Estimatics web application, iOS mobile application, APIs, and all related services operated at aiestimatics.com.

1.2 "Account" means the registered account through which you access the Platform.

1.3 "Organization" means the business entity on whose behalf you use the Platform.

1.4 "Job" means a discrete property inspection record created within the Platform.

1.5 "Content" means all data, photographs, videos, documents, reports, annotations, and other materials you submit to or generate within the Platform.

1.6 "Subscription Plan" means the FIELD, SCOPE, or CERTIFY tier you have selected, as described in the current pricing schedule.

1.7 "AI Features" means any artificial intelligence or machine learning functionality within the Platform, including damage detection, scope generation, geometry analysis, and report generation.

2. Account Registration and Eligibility

2.1 Eligibility. You must be at least 18 years of age and have the legal authority to enter into binding contracts to use the Platform. By using the Platform, you represent and warrant that you meet these requirements.

2.2 Business Use. The Platform is designed for professional use by field inspectors, public adjusters, restoration contractors, insurance attorneys, and related professionals in the U.S. property insurance and restoration industry. Personal, non-commercial use is not the intended purpose.

2.3 Account Security. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at support@aiestimatics.com of any unauthorized use.

2.4 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

3. Subscription Plans and Fees

3.1 Plan Tiers. The Platform is offered under three subscription tiers: FIELD ($32/month or $24/month billed annually), SCOPE ($69/month or $52/month billed annually), and CERTIFY ($149/month or $112/month billed annually). Features available under each tier are described at aiestimatics.com/pricing.

3.2 Pay-Per-Project. In addition to subscription plans, certain features are available on a pay-per-project basis at rates of $79 (FIELD level), $149 (SCOPE level), or $279 (CERTIFY level) per project.

3.3 Payment Processing. All payments are processed through Stripe, Inc. By providing payment information, you authorize Estimatics to charge the applicable fees to your designated payment method.

3.4 Billing Cycle. Subscription fees are billed in advance on a monthly or annual cycle beginning on your subscription start date.

3.5 Proration. Plan upgrades take effect immediately. Upgraded charges are prorated for the remainder of the current billing cycle. Downgrades take effect at the end of the current billing period.

3.6 Taxes. Fees are exclusive of all taxes, levies, or duties. You are responsible for payment of all applicable taxes.

3.7 Late Payments. If payment fails, we will attempt to retry the charge over a three-day period. If payment cannot be collected, your account may be suspended or downgraded.

4. Acceptable Use

4.1 Permitted Use. You may use the Platform solely for lawful professional purposes in connection with property inspection, damage assessment, insurance claims, and related activities.

4.2 Prohibited Conduct. You agree not to:

Use the Platform to violate any applicable law or regulation
Submit false, fraudulent, or misleading documentation
Attempt to reverse-engineer, decompile, or extract source code from the Platform
Use automated scripts or bots to access or interact with the Platform
Interfere with the security or integrity of the Platform or its infrastructure
Share account credentials with unauthorized parties
Use the Platform to store or transmit malicious code
Circumvent any access controls or usage limits

4.3 Compliance with Insurance Regulations. You are solely responsible for ensuring that your use of the Platform complies with all applicable state and federal insurance regulations, licensing requirements, and professional standards.

5. Intellectual Property

5.1 Platform Ownership. Estimatics owns all rights, title, and interest in and to the Platform, including all software, algorithms, AI models, designs, trademarks, and documentation. These Terms do not grant you any ownership rights in the Platform.

5.2 License Grant. Subject to your compliance with these Terms and payment of applicable fees, Estimatics grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

5.3 Your Content. You retain ownership of all Content you submit to the Platform. By submitting Content, you grant Estimatics a non-exclusive, worldwide license to host, store, process, and display your Content solely to provide the Platform services to you.

5.4 Feedback. If you provide suggestions, ideas, or feedback about the Platform, you grant Estimatics the right to use such feedback without restriction or compensation.

6. Data, Privacy, and Security

6.1 Privacy Policy. Your use of the Platform is subject to our Privacy Policy, which is incorporated into these Terms by reference.

6.2 Data Processing. You acknowledge that Estimatics processes Content on your behalf, including photographs, GPS metadata, and property information, to deliver the Platform's services.

6.4 CERTIFY Evidence Chain. On the CERTIFY plan, Estimatics applies a cryptographic hash chain to your evidence package at the time of capture. You acknowledge that this certification reflects the state of the evidence at capture time and does not constitute legal advice or guarantee admissibility in any proceeding.

7. AI Features and Limitations

7.1 AI-Generated Content. AI Features, including damage detection, scope generation, and report narratives, are generated by artificial intelligence and are provided for informational purposes only. AI outputs are not legal opinions, engineering assessments, or professional certifications.

7.2 Professional Judgment Required. You are solely responsible for reviewing all AI-generated outputs and applying your independent professional judgment before relying on any AI Feature result in a claim submission, report, or legal proceeding.

7.3 No Guarantee of Accuracy. Estimatics does not warrant that AI Features will be accurate, complete, or error-free. Geometry accuracy estimates (e.g., "~80% accuracy" for Instant Geometry™) are provided as general guidance and are not guarantees.

8. Disclaimers and Limitation of Liability

8.1 "As Is" Service. THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY LAW, ESTIMATICS' TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE FEES PAID BY YOU TO ESTIMATICS IN THE TWELVE MONTHS PRECEDING THE CLAIM.

8.3 Exclusion of Consequential Damages. IN NO EVENT SHALL ESTIMATICS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.

9. Indemnification

You agree to indemnify, defend, and hold harmless Estimatics and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, your violation of these Terms, or your violation of any third-party rights.

10. Term and Termination

10.1 Term. These Terms remain in effect for as long as you maintain an active account.

10.2 Termination by You. You may terminate your account at any time through the Platform's billing settings.

10.3 Termination by Estimatics. We may suspend or terminate your account immediately for violation of these Terms, non-payment, or for any reason with 30 days' notice.

10.4 Effect of Termination. Upon termination, your license to use the Platform ceases. Your Content will be retained for 90 days, after which it will be permanently deleted. You may download your Content during this period.

11. Governing Law and Dispute Resolution

11.1 Governing Law. These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

11.2 Arbitration. Any dispute arising from or related to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.

11.3 Class Action Waiver. You waive any right to bring claims as a class action or in any representative capacity.

11.4 Jurisdiction. For matters not subject to arbitration, you consent to the exclusive jurisdiction of the courts of the State of Delaware.

12. General Provisions

12.1 Entire Agreement. These Terms, together with the Privacy Policy and any order forms, constitute the entire agreement between you and Estimatics regarding the Platform.

12.2 Amendments. We may update these Terms at any time. We will provide at least 30 days' notice before material changes take effect. Continued use of the Platform after the effective date constitutes acceptance.

12.3 Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.

12.4 Waiver. Failure to enforce any provision of these Terms shall not be deemed a waiver of future enforcement.

12.5 Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
